Job Description
Responsibilities:
\n
- \n
- Manage the day-to-day contract lifecycle — intake, drafting support, routing, redlines, execution, and filing — for a range of agreement types (e.g., MSAs, SOWs, CDAs/NDAs, amendments).
- Track contracts through the review and approval process, keeping stakeholders informed of status and flagging bottlenecks or approaching deadlines.
- Establish recurring touchpoints with stakeholders to reinforce best practices and tailor the contracting model to business needs.
- Maintain and organize the contract repository, ensuring documents are properly filed, versioned, and easy to locate.
- Support use of the company's CLM tool (e.g., LinkSquares) — including data entry, workflow routing, and basic troubleshooting — and help identify opportunities to improve how it's used.
- Own and maintain standard contract templates, ensuring the correct template is used for the right situation and that language stays current.
- Coordinate the contract triage process — routing agreements to the appropriate internal reviewers (Legal, IT, Compliance) based on contract type, value, and risk.
- Liaise with internal stakeholders and, where appropriate, outside counsel to keep contracts moving and escalate higher-risk agreements as needed.
- Support SOX-compliant contract tracking, documentation hygiene, and audit readiness, including maintaining accurate records for audit requests.
- Help apply a risk-based approach to contract review — understanding the difference in rigor needed for, e.g., R&D vs. G&A agreements — and escalate appropriately.
- Identify and help implement improvements to contracting workflows, templates, and tracking as the function matures.
- Support ad hoc projects and process-improvement initiatives within Business Operations.
