Direct Counsel is seeking an Alternative Asset Opportunities Career Associate Attorney with 5+ years of relevant experience to join a leading global law firm and its highly regarded Alternative Asset Opportunities practice.

Position Overview

This full-time position focuses on fund investments, co-investments, secondary transactions, and related transactional and governance matters for sophisticated institutional investor clients. The Career Associate will serve as a dedicated legal resource within a high-volume workflow, providing day-to-day support on alternative asset transactions across a variety of asset classes and geographies.

The ideal candidate will be an experienced transactional or asset management attorney who can work independently, manage a significant volume of matters, and build trusted relationships with institutional clients and cross-functional teams.

Responsibilities

  • Provide day-to-day legal support to institutional investor clients on alternative asset transactions.

  • Handle confidentiality agreements, subscription agreements, transfer agreements, KYC/AML processes, investment structuring, and related investment matters.

  • Draft, review, and negotiate documentation for fund investments, co-investments, and secondary transactions.

  • Coordinate with corporate, tax, and regulatory attorneys to structure and execute transactions.

  • Work closely with clients' legal, finance, tax, compliance, management, and investor relations teams to implement transactions accurately.

  • Manage a steady pipeline of recurring matters, tracking deliverables, deadlines, records, templates, and workstreams.

  • Identify opportunities to improve forms, develop precedent resources, streamline recurring workflows, and reduce legal and operational risk.

  • Apply sound legal judgment, strong drafting skills, and practical project management to deliver accurate work in a fast-paced asset management environment.

  • Build and maintain trusted relationships with clients and cross-functional teams.

Qualifications

  • 5+ years of relevant experience at a law firm and/or in-house legal department at an asset management firm or similar environment.

  • Substantial experience with transactional and/or asset management matters.

  • J.D. from an accredited law school.

  • Admission in good standing to the bar in the relevant office jurisdiction.

  • Strong knowledge of fund investment, co-investment, and secondary transaction documentation.

  • Strong drafting, legal analysis, organizational, and project management skills.

  • Ability to independently manage a high volume of matters accurately and efficiently.

  • Excellent interpersonal and communication skills with the ability to build trusted client relationships.

  • Experience developing or maintaining document templates, playbooks, precedent libraries, or knowledge management resources.

  • Proficiency in using artificial intelligence technologies responsibly and ethically, including identifying appropriate use cases, protecting confidentiality, verifying outputs, and applying independent legal judgment.

Compensation

The anticipated salary range for this position is $265,000–$350,000 annually, depending on qualifications, experience, and other relevant factors. This position is also eligible for a discretionary year-end bonus.
