Direct Counsel is seeking a Corporate Associate Attorney with 4+ years of experience to join a leading Am Law 100 law firm and its Venture Capital & Emerging Companies practice.

Position Overview

The ideal candidate will have substantial experience representing venture capital investors and emerging companies in sophisticated transactional matters. This role offers the opportunity to work on venture capital financings while advising emerging companies on a range of corporate and operational matters.

The position is well suited for an attorney who is comfortable taking ownership of matters, enjoys working directly with clients, and is interested in mentoring junior attorneys.

Responsibilities

  • Draft and negotiate venture capital investment and financing agreements.
  • Advise emerging companies on day-to-day corporate and operational matters.
  • Counsel clients regarding board and stockholder communications, approvals, and governance matters.
  • Advise on equity awards and related compensation matters.
  • Manage and take ownership of sophisticated venture capital and emerging company projects.
  • Supervise, train, and mentor junior associates on venture capital financings and emerging company matters.
  • Collaborate with attorneys across the corporate practice and other disciplines to provide comprehensive client solutions.
  • Maintain strong client relationships and provide practical, business-oriented legal advice.

Qualifications

  • 4+ years of venture capital and emerging company transactional experience.
  • Experience drafting and negotiating venture capital financing and investment agreements.
  • Experience advising emerging companies on corporate governance and day-to-day operational matters.
  • Strong understanding of capitalization tables and proficiency with Excel.
  • J.D. or LL.M. from an ABA-accredited law school.
  • Admission to the New York or Massachusetts Bar, or eligibility for admission, required.
  • Technology-forward approach to legal practice, including hands-on proficiency with legal AI tools.
  • Excellent written and oral communication skills.
  • Strong client service and interpersonal skills.
  • Exceptional organizational skills and attention to detail.
  • Ability to prioritize competing responsibilities and consistently meet deadlines.
  • Ability to work effectively both independently and as part of a collaborative team.
  • Demonstrated ability to supervise and mentor junior attorneys.

Work Environment

The firm operates under a hybrid work model, with attorneys expected to work from the office approximately 60% of the time in accordance with firm guidelines.

Compensation

The anticipated salary range for this position is $310,000–$365,000 annually, depending on qualifications and experience. This position is also eligible for a discretionary bonus.
