Commercial Counsel - SaaS - Boston - Hybrid
A Boston-based SaaS company is seeking a Commercial Counsel to join its legal team. This is a highly visible role supporting commercial contracting, data privacy, and IP strategy in a fast-paced environment.
Responsibilities:
- Lead drafting, review, and negotiation of commercial SaaS agreements, including MSAs, subscription agreements, DPAs, SLAs, partner agreements, vendor contracts, and NDAs
- Partner closely with various teams (Sales, GTM, Finance, etc.) to support deal execution
- Advise on data privacy, security, and compliance matters
- Develop contract playbooks and approval workflows
- Support and strengthen the company’s intellectual property strategy, including trademarks, patents, and IP risk mitigation
- Serve as a strategic advisor to leadership on legal, regulatory, and commercial matters
Qualifications:
- JD and 5+ years of legal experience, ideally in both law firm and in-house environments
- Expertise in technology transactions and SaaS business models
- Strong communication, negotiation, and business judgment skills
