Job DescriptionMid-Level Nonprofit & Tax-Exempt Organizations Associate Attorney – Multiple Locations
Direct Counsel is seeking a Mid-Level Nonprofit & Tax-Exempt Organizations Associate to join a nationally recognized law firm. This role offers the opportunity to work with a diverse client base of charities, foundations, advocacy groups, and trade associations while collaborating with cross-disciplinary teams in healthcare, public policy, and education. Candidates may be based in Dallas, Boston, Philadelphia, or Jacksonville.
Key Responsibilities:

Advise nonprofit and tax-exempt organizations on legal and tax matters, including formation, tax-exempt status recognition, compliance, governance, and fundraising.

Conduct legal research and provide analysis on federal, state, and local laws affecting nonprofits.

Support clients with endowments, restricted gifts, and related UPMIFA issues.

Assist with corporate transactions involving nonprofits, such as mergers, joint ventures, MRIs, and PRIs, providing relevant tax guidance.

Draft and review contracts, policies, corporate filings, and grant agreements.

Engage with clients on charitable gift planning and estate planning matters.

Maintain up-to-date knowledge of regulatory developments in the nonprofit sector.

Participate in client management, business development, writing, and speaking opportunities.
Qualifications:

3–5 years of legal experience with a strong background in tax law and a focus on exempt organizations.

Strong writing skills, attention to detail, and excellent organizational abilities.

Licensed (or eligible to become licensed) in TX, MA, PA, or FL.

LL.M. in Tax and direct exempt organizations experience strongly preferred.

Familiarity with nonprofit corporate governance, supporting organizations, social welfare organizations, donor advised funds, and/or community foundations a plus.

Experience with healthcare-related transactions also valued.
Compensation:
-
Base salary range: $250,000 – $375,000, commensurate with experience and qualifications.
Location:
This position may be based in Dallas, TX; Boston, MA; Philadelphia, PA; or Jacksonville, FL. Candidates must reside in one of these areas by the time of hire.
