Multiple Locations
Direct Counsel is representing an AmLaw 100 firm seeking a Corporate Associate with 4+ years of experience to join its sophisticated Private Equity M&A practice. This is an excellent opportunity to take meaningful ownership of transactions from inception through closing while working with sophisticated clients and deal teams.
Key Responsibilities
- Draft, review, and negotiate acquisition agreements, equity documents, and ancillary transaction documents.
- Manage due diligence, identify key issues, and incorporate findings into deal strategy and documentation.
- Support portfolio companies with add-on acquisitions, dispositions, financings, and general corporate matters.
- Drive deal execution and closings while managing aggressive timelines.
- Collaborate with tax, finance, benefits, real estate, IP, and litigation specialists.
- Mentor and supervise junior associates.
Qualifications
- 4+ years of Private Equity and M&A experience, preferably at a large or sophisticated law firm.
- Experience managing significant transaction workstreams from inception through closing.
- Strong drafting, negotiation, analytical, and communication skills.
- Comfortable working directly with clients and financial sponsors.
- Strong academic credentials and JD required.
- Must be admitted in the jurisdiction where you will practice.

Compensation
$235,000 – $455,000, depending on class year and experience, plus bonus and comprehensive benefits.
